Official Rules

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. Each text message, sent or received, may incur a charge as provided in your rate plan. Standard message and data rates apply. If you enter via text message, you will receive at least two (2) text messages in response to your entry. Text messaging may not be available through all wireless carriers.

1. Eligibility: NYC Celebrity Silhouette℠ Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50)United States and D.C., (excluding Puerto Rico) and Canada who are at least twenty-one (21) years old at the time of entry. Employees of Celebrity Cruises Inc., Exact Target, Acceleration eMarketing, ePrize, LLC, and their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible.The Sweepstakes is subject to all applicable federal, state, provincial, territorial, municipal, and local laws and regulations and is void and where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning the prize is contingent upon fulfilling all requirements set forth herein.

3. Timing: The Sweepstakes begins on July 18, 2011 at 12:00 a.m. Eastern Time ("ET") and ends on August 31, 2011 at 11:59 p.m. ET (the "Promotion Period"). Exact Target's computer is the official time-keeping device for the Sweepstakes.

4. How to Enter: There are two (2) ways to enter the Sweepstakes:

a. Online: During the Promotion Period, visit http://pages.email.celebritycruises.com/SweepStakesJLY and follow the instructions to complete and submit the registration form, including providing a valid home address. P.O. Boxes are not permitted. You will receive one (1) entry into the Sweepstakes.

b. By Text: During the Promotion Period, using a two-way text messaging capable device, text NYC, SiNY, or NEWSHIP to the short code 80565 You will then receive a response text message asking you to provide your name and email address. Once you reply to this text message with your name and email address, you will receive one (1) Sweepstakes entry. Text CELEBSTOP to 80565 to opt-out.Text CELEBHELP to 80565 for information. Standard message and data rates apply and entrants should contact their carrier for pricing plans and details. Text-messaging may not be available through all wireless carriers.

Limit : You may enter one (1) time regardless of method of entry during the Promotion Period. Multiple entrants are not permitted to share the same email address or text messaging capable device. Any attempt by any entrant to obtain more than one (1) entry by using multiple/different email addresses, text messaging capable devices, identities, registrations and logins, or any other methods will void all of that entrant's entries in excess of one (1), and that entrant may be disqualified, in Sponsor's sole discretion.Use of any automated system to participate is prohibited and will result in disqualification. In the eventof a dispute as to any registration, the authorized account holder of the email address or text messaging capable device used to register will be deemed to be the entrant. The "authorized account holder" of an email address is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The "authorized account holder" of a text-messaging capable device is the natural person in whose name the device has been issued and the services are billed.The potential winner may be required to show proof of being the authorized account holder.

Tell A Friend Program: After you enter the Sweepstakes, you will be invited to submit the names and email addresses of your friends, who must meet the eligibility requirements stated in these Official Rules, to enter the Sweepstakes. Each person who you refer will receive an email notifying him or her about the Sweepstakes. You may only refer persons with whom you have an existing relationship. For each referral of a friend with a valid email address, you will be given one (1) additional Sweepstakes entry. Anentrant will not receive an additional Sweepstakes entry for sending an email to a friend whose email address has previously been submitted.

5. Grand Prize Drawing: Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes and the selection of the potential winner are final and binding in all matters related to the Sweepstakes. Administrator, at the office address listed in Section 2 above, will randomly select the potential Sweepstakes winners from all eligible entries received during the Promotion Period, on or around September 8, 2011 at approximately 12:00 p.m. ET. Each potential winner will be notified by email or phone. The potential Grand Prize winner will be required to complete and submit a Declaration of Compliance within five (5) days of the date notice or attempted notice is sent, in order to claim the prize. If the potential winner is a Canadian resident, he/she will also be required to correctly answer a time-limited skill testing question without assistance in order to be able to receive the prize. If the potential winner cannot be contacted, fails to submit the Declaration of Compliance within the required time period, or fails to answer the time-limited skill testing question correctly (if applicable), the potential winner forfeits the prize. Receiving the prize is contingent upon compliance with these Official Rules. In the event that the potential winner is disqualified for any reason, Sponsor will award the Grand Prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the Grand Prize will remain un-awarded.

6. Prize:
ONE (1) GRAND PRIZE: A Cruise Prize package consisting of: one (1) double occupancy AquaClass stateroom for winner and guest onboard a 2-night pre-inaugural cruise of Celebrity Cruises’ newest ship, Celebrity Silhouette sailing November 4-6, 2011; one (1) double occupancy AquaClass stateroom for winner and guest onboard the 12-night Southern Caribbean cruise on Celebrity Silhouette sailing November 6-18, 2011; round trip coach-class air transportation for winner and guest from an airport near winner's home (as determined by Sponsor in its sole discretion) to New York, NY; one (1) night accommodations at a hotel near Times Square in New York City (as determined by Sponsor in its sole discretion) (single room, double occupancy); and ground transportation between the hotel and airport and the hotel and the Cruise port. Approximate Retail Value ("ARV"): $8,168 USD. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.

Grand Prize Conditions: Prize includes standard guest cruise accommodations. Winner and travel companion are solely responsible for any and all costs, other than those specifically stated in these Official Rules, that may be incurred or arise as a result of being awarded a prize. Such costs may include, but are not limited to all federal, state, provincial, territorial, municipal, local, or other government or quasi-governmental taxes and fees, fuel supplement charges, travel insurance, and items of a personal nature (i.e. shore excursions, passport fees, gratuities, alcoholic beverages, photographs, some entertainment, service fees, medical services, etc.).

Travel dates are determined by Sponsor. Winner and guest must be able to travel during specified dates. Failure to use such prize on such dates will result in Winner forfeiting the prize. Unused components of the prize have no redeemable cash value and no compensation or substitution will be made.

Winner and guest are responsible for all travel documents (such as a passport and visa) required for international travel. Sponsor is not responsible for the cancellation or delay of any flight. Winner and guest must travel at the same time on the same itinerary.

Cruise prize issued in the form of a cruise certificate. Cruise provided subject to the terms and conditions in guest ticket cruise contract, cruise certificate and applicable brochure. Prize may not be upgraded.

No guest under twenty-one (21) years of age will be booked in a stateroom unless accompanied by a person who is twenty-one (21) years or older. If travel companion is under eighteen (18) years of age, winner must be travel companion's parent/legal guardian. Except where prohibited by applicable law, each winner and travel companion will be required to sign a liability and publicity release and/or Declaration of Compliance prior to traveling. Winner and travel companion must sign the passenger ticket contract prior to being allowed to board the cruise.

Prize is non-transferable, non-assignable, may not be given, bartered, sold or exchanged for cash or another prize. Sponsor reserves the right to substitute the prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Odds of winning the prize depend on the number of eligible entries received during the Promotion Period.

7. Release: By receipt of any prize, winner agrees to release and hold harmless Sponsor, Exact Target, Acceleration eMarketing, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or useor misuse of any prize.

8. Publicity: Except where prohibited, participation in the Sweepstakes constitutes the winner's consent to Sponsor's and its agents' use of winner's name, likeness, photograph, voice, opinions and/or hometown and state/province for promotional purposes in any media, worldwide, without further payment or consideration.

9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion and subject to the approval of the Régie des alcools, des courses et des jeux. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Limitations of Liability:The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines, cellular networks, or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or useor misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. If the Sweepstakes, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

11. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan, U.S.A.; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan, U.S.A. without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan, U.S.A. or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan, U.S.A.

For Residents of Quebec Only: Any litigation respecting the conduct or organization of a pulicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.
